These Terms of Service ("Terms") govern your use of Substaff ("the Service", "our Service") provided by SG Systems PTE. LTD. ("Company", "we", "us", or "our"), a company registered in Singapore.

By accessing or using Substaff, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

Substaff is an AI workforce management platform that enables users to build, manage, and coordinate teams of autonomous AI agents to achieve business goals. SG Systems PTE. LTD. reserves the right to modify, suspend, or discontinue the Service at any time without notice.

Substaff uses a credit-based billing model. Credits are purchased in advance and consumed as AI agents perform work. You set hard budget limits per goal, and agents auto-pause when credits are exhausted. Unused credits do not expire. All credit purchases are final and non-refundable unless required by applicable law.

The Service and its original content, features, and functionality are and will remain the exclusive property of SG Systems PTE. LTD. and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain all rights to the content you create, upload, or process using Substaff, including outputs generated by AI agents on your behalf. By using our Service, you grant SG Systems PTE. LTD. a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you. We will not share, sell, or use your content for any other purpose without your explicit consent.

Your use of Substaff is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Service and informs users of our data collection practices.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

In no event shall SG Systems PTE. LTD., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of Substaff shall be subject to the exclusive jurisdiction of the courts of Singapore.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
